I must admit that

emacs -batch -l un-define \
     -eval "(progn (find-file $OFILE 'utf-8) (write-file $NFILE 'shift_jis))" \
     -kill

seems a wee bit OTT for this application.  But you might consider it
if you need to burn a few cycles.
